Warum ich immer wieder nachgekauft habe CEO Thiel: What I love about Local Corp is that the years of experience the company has in search have created a huge opportunity in two areas - One is in programmatic, the other is in mobile search

Local has an infrastructure in place to begin and had begun executing programmtic campaigns: Built a proprietary cross-platform data tracking tool and added third party media buying platforms to leverage and monetize first party search intent data
1. Step of Programmatic Workflow: Consumer visits publisher site
2, Step of Programmatic Workflow: Publisher Ad Server
- Any premium buyers?
- What is known about this consumers?
3. Step of Programmatic Workflow: SSP (Supply Side Platform)
- Adds logic on consumer
- What is known?
- Has consumers been seen before?
4. Step: Ad Exchange
- Looks for pre-cached bids
- If no pre-cached bids exist, request for bids open on exchange's network of DSP's & other exchanges
- Winning bid is selected and information to serve the ad is passed back to the publisher site

Manipulations by Local Corp

About the sleeping of the management by the regulation of debts in March 2015

“If Local Corp had offered for example only 5 million shares in last November, the proceeds were 7.5 milllion. If the CFO Cragun can't explain the waiting, he should be fired - and my estimate must be, that he and the management want to robber the shareholders and I will inform the SEC.

And I can't understand, that the management of Local Corp had not sold some patents, for example some of the 5 pay per call-patents - this were after my estimates the better solution as the extrem Dilution.

I accept the waiting, if the CFO explain, that abusive naked shortselling was not part of his planning. But I await, that the management sue the abusive naked shortsellers for a compensation.

On March 9, 2015, the Local Corp entered into a Securities Purchase Agreement relating to the sale and issuance of Senior Convertible Notes, comprising $4.57 million aggregate principal amount of new 8% Senior Convertible Notes maturing in April 2018 and initially convertible at $0.5534 (subject to adjustment), $250,000 of which was invested by certain management and board members, and $4.75 million aggregate principal amount of 10% Partially Liquidating Debentures maturing August 2016, initially convertible at $0.7090 (subject to adjustment).

But after my estimate, it could be, that the management worked together with the owner of this debts (Wolverine Asset Management, Wolvering Holdings, Wolvering Trading Partners Christopher L.Gust, Robert R. Bellick and members of the management of Local Corp).

In the last months before the financing the share-price dropped from $2 to $0.40 and therefore the SEC and Finra should take a look, if Wolverine Asset Management, Wolvering Holdings, Wolvering Trading Partners Christopher L.Gust, Robert R. Bellick and members of the management of Local Corp had direct shorted and/or indirect shorted before the financing had started and during the financing, because both are manipulations.

The Change in the SEO-Landscape Only few developments have the potential to change the SEO landscape as irrevocably as the Internet of Things

The Internet of Things Offers Amazing Opportunities for Local Corp

For SEOs, local has been one of the most potentially lucrative areas of search. The explosion in smartphone adoption – and the accompanying tectonic shift in location- and device-dependent services – has brought with it a wide array of challenges for SEOs, but it has also been a major boon for small businesses and consumers alike.

However, SEOs are now battling a war on two fronts; striving to adapt to Google’s near-constant algorithm updates, and staying abreast of new technologies that threaten to force them into obsolescence. Every few years, a technology emerges that naysayers claim will “end” the SEO industry, but few developments have the potential to change the SEO landscape as irrevocably as the Internet of Things.

"To further highlight Krillion’s importance to our business, we are consolidating all of Krillion’s assets, including its IP, into its own subsidiary, which enables us to better manage and measure its performance and contribution to the overall business. mQuery entwickelt sich Not big, but a first revenue-step of nQuery by Local: During the first quarter of 2015, the average unique visitors per month for nQuery Mobile Search reached 3 million, representing approximately 400,000 daily search queries. Local Corp are now anticipating that to ramp to more significant levels of revenue in the second half of the year

Amit Dayal - Wainwright
Thank you. Hi, guys. Just to go back to the network business a little bit. It is shrinking quite a bit year-over-year. You made some comments that seem it could level off from here for the rest of the year. One thing that I think maybe investors would like to understand a little better, I guess, is the shortfall on the network revenue side, the anticipation was that maybe mobile would make up some of those declines on the network side. Is mobile contributing in any way meaningfully at this point? Or do we expect mobile to pick up maybe in the later half of the year?

Ken Cragun - Chief Financial Officer, Secretary
Thanks, Amit. We have rolled out our mobile search product nQuery with multiple carriers and we have installed search solutions in 18 countries. But it's still early and the levels of traffic have not ramped as expected. We are a little bit on the timeline of the carriers. It's installed, it's working, more ad test levels and we do expect and we did expected the volume to ramp in the first quarter. We are now anticipating that to ramp to more significant levels of revenue in the second half of the year.

Libuda sieht positiven Cash Flow in Q2 Local Corp needs only 14.6 million revenues in Q2/20155 to reach a positive cash flow from operations - I believe no problem by the published extreme positive numbers of the last days

Local Corporation Reports First Quarter 2015 Financial Results
May 15, 2015 7:05 AM
Revenue 13.1 million
Cash Flow from operations - 1.8 million (maybe only 1.2 million after the CFO Cragun in CC)
Estimates for revenues from Q2/15 - Q4/15 from stannguru
Q2/2015: 15.2 million
Q3/2015: 17.5 million
Q4/2015: 19.2 million

The following cost-cutting lower the cost in Q2/2015 about 0.6 million: “Late in the first quarter, we had a reduction in force from about 70 people to 60 people and we have looked at other cost savings and we think that will contribute another approximate $2 million in savings to the $3 million in savings actions we took in the fourth quarter.”

Very important for a positive cash flow in the next quarters is the decouopling between the revenues and the cost of revenues in the last quarters: The decline of revenues in Q1/2015 took place by a decrease of the cost of revenues of less than 0.5 million. The result will be, that by an increase of revenues from 13.1 million to 14.6 million the increase of the cost of revenues will be only 0.3 million.
Period Ending
Mar 31, 2015 Dec 31, 2014
Total Revenue 13,087 16,285
Cost of Revenue 11,563 12,035

The math: -1.8 million Cash Flow in Q1 + 0.6 milllion Cost Cutting in Q2 - 0.3 million more cost of revenues by an increase of revenues of 1.5 million in Q2 = -1.5 Million Cash Flow by equal reveneus like in Q1 of 13.1 million. By an increase of revenues of 1,5 from 13.1 million to 14.6 million the Cash Flow from operations is flat. By my estimate of revenues of 15.2 million we should have a positive Cash Flow from operations of 0.6 Million-

Growth-Driver Programmatic Media Buying Programmatic Media Buying achieved two major operational milestones. The company built a proprietary cross-platform data tracking tool and completed the infrastructure platform to initiate real-time bidding, audience extension and search retargeting on behalf of advertisers to leverage valuable first party search intent data across all the company’s platforms.

CEO Thiel said on the CC: "Local Corp is in an excellent position to monetize the audience through programmatic media buying. The growth of exchanges for online ad buying is gigantic. E-Marketer reported, that the growth of programmatic digital display advertising was 137% in 2014 to now $10 billion and will reach the double amount of $20 billion in 2016.”

"What makes our audience highly valuable for advertisers is that we get first party commercial search intent data from our consumers everyday. The ability to target and retarget our highly valuable consumer audience provides us with many advantages particularly in the programmatic marketplace, because we own our own first party data."

CEO Thiel again on the CC: " Consumers, who search actively for goods and services are the most valuable. And therefore about 200 million unique visitors of the flagship-site of Local Corp and near 30 billion ad impressions served across Local Corp’s publisher network and the exploding number of mobile searches of the carrier network of Local Corp a big value." Local Corp has never been tested with a published result, because the most named companies in my last posting have vastly more resources (cash and their own patent portfolios to fight back with) than Local Corp and Local Corp had to wage such a battle. But a company with more cash than Local Corp can get bigger riscs and realize the value of the patent a lot better (licensing fee's, better position to fight back and other reasons). My favorite's for a buy are Groupon, Ebay, Foursquare and Facebook, which established a new offer, which could hurt patent #8,032,427.
