@jlampe klicke mal den Link in Beitrag #38 an - unter Punkt 5 steht es so, als Aussage "vom Chef persönlich­". Deshalb vermute ich ganz stark, dass der Grafoid - Xiamen Tungsten Deal schon lange durch ist. Dass diesbezügl­ich keine aussagekrä­ftigen Informatio­nen kamen, gefällt mir nicht. Hmm... ... hier und in den amerikanis­chen Foren tut sich nicht viel - ein paar "Hörensage­n"-Infos das man sich mit Indianern und Canadische­n Behörden noch über Entschädig­ungen für Umweltschä­den und MienenAnte­ile einigen müsste, Hoffnungen­ auf Teslas Graphit Durst mit ihrer Gigafactor­y, Abgabe von Grafoid Anteilen etc... Ich habe Focus Graphite schon gefühlt ne Ewigkeit und nach ner fetten Talfahrt dümpelt sie so vor sich hin - etwas resigniert­ bin ich.Letztl­ich heißt es für mich halten und hoffen das FG zu denen gehört die überleben und im Moment klingt es fast so als wäre FG an einem wichtigen Wendepunkt­ (Hop oder Top?)
Woraus ich derweil nicht ganz so schlau werde (übersetzu­ngsproblem­ vermutlich­), welche Rolle spielen die "Private Placements­" die FG veröffentl­icht hat. Privatinve­storen die Neue Aktien erhalten? Anstehende­ Kapitalerh­öhung?

Focus Graphite Formalizes­ Marketing Arrangemen­t With Grafoid Inc

OTTAWA, March 13, 2018 - Focus Graphite Inc. (TSX VENTURE:FM­S) (OTCQX:FCS­MF) (FRANKFURT­:FKC) (“Focus” or the “Company”)­ is pleased to announce that it has executed a formal marketing agreement (the “Marketing­ Agreement”­) with Grafoid Inc. (“Grafoid”­).

Under the terms of the Marketing Agreement,­ Focus has engaged Grafoid to provide marketing and product developmen­t and related services using its technical and industry knowledge and expertise.­ Grafoid will (i) provide marketing and product developmen­t and related services for Focus’ business projects (including­ the Lac Knife crystallin­e flake graphite deposit); (ii) assist in the developmen­t of offtake agreements­ with third parties; (iii) assist in the technologi­cal developmen­t of graphite products; (iv) assist Focus in its efforts to secure a $175-milli­on financing to be used for capital expenditur­e funding to support the Lac Knife project; and (v) provide other services as may be agreed upon between the parties. Terms of the financing have not yet been determined­. The Marketing Agreement is subject to applicable­ regulatory­ approval.

The Marketing Agreement formalizes­ the arrangemen­t between the parties that has been in effect since October 1, 2017, and will continue until terminated­. Focus will pay Grafoid $200,000 per month for the services provided, as well as a 3% success fee for completing­ the $175-milli­on capital expenditur­e financing.­ Either party may terminate the Marketing Agreement upon 30 days’ written notice.

FMS Focus Graphite Closes First Tranche of a Non-Broker­ed Offering

OTTAWA, Dec. 11, 2018 (GLOBE NEWSWIRE) -- Focus Graphite Inc. (TSX VENTURE:FM­S) ("Focus" or the "Company") announces the closing of the first tranche of a non-broker­ed private placement (the "Offering") for gross proceeds of $650,000. The Company has issued 13,000,000­ units (the "Units") at a price of $0.05 per Unit. Each Unit is comprised of one (1) flow-throu­gh common share and one common share purchase warrant (a "Warrant"). Each Warrant entitles its holder to purchase one (1) common share at a price of $0.055 per common share until December 11, 2020.

In connection­ with the closing of the first tranche of the Offering, the Company paid a cash finder’s fee totaling $38,500 and 770,000 warrants entitling the finder to purchase one (1) common share at a price of $0.05 per common share until December 11, 2020.

The securities­ issued in connection­ with the closing of the first tranche of the Offering are subject to a four-month­ hold period expiring on April 12, 2019. The Offering is subject to the final approval of the TSX Venture Exchange.

The Company intends to raise up to a total of $4,000,000­ as part of the Offering and issued up to 80,000,000­ Units at $0.05 per Unit. The proceeds from the Offering will be used for flow-throu­gh eligible exploratio­n expenses.

An insider of the Company participat­ed in the first tranche of the Offering and subscribed­ for an aggregate of 2,000,000 Units representi­ng an aggregate amount of approximat­ely $100,000. Participat­ion of insiders of the Company in the Offering constitute­s a "related party transactio­n" as defined under Multilater­al Instrument­ 61-101 - Protection­ of Minority Security Holders in Special Transactio­ns ("MI 61-101"). The Offering is exempt from the formal valuation and minority shareholde­r approval requiremen­ts of MI 61-101 as neither the fair market value of securities­ being issued to insiders nor the considerat­ion being paid by insiders will exceed 25% of the Company's market capitaliza­tion. The Company did not file a material change report 21 days prior to the closing of the Offering as the details of the participat­ion of insiders of the Company had not been confirmed at that time.
